Our Intellectual Property

All content, materials, designs, code, methodologies, and documentation provided by Additive Engineering Solutions, LLC — including but not limited to text, graphics, logos, software, and trademarks — are owned by or licensed to us and are protected by applicable intellectual property laws.

Client Intellectual Property

Any materials, data, or intellectual property you provide to us remain your property. We do not claim ownership over your content.

Deliverables

Upon full payment, we grant you a non-exclusive, perpetual license to use the deliverables created specifically for you under a signed service agreement.

4. Client Responsibilities

You agree to:

• Provide accurate and complete information necessary for the performance of our services
• Grant reasonable access to your systems, personnel, and facilities as needed
• Comply with all applicable laws and regulations in your use of our services
• Not use our services for any illegal, harmful, or unauthorized purpose
• Maintain the confidentiality of any login credentials or access tokens provided

5. Fees and Payment

Fees for services are as set forth in the applicable service agreement. Unless otherwise specified:

• Invoices are due within thirty (30) days of the invoice date
• Late payments may incur interest at the rate of 1.5% per month or the maximum rate allowed by law
• We reserve the right to suspend services for accounts that are more than thirty (30) days past due

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or non-public information shared during the course of our engagement. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.

7. Limitation of Liability

To the fullest extent permitted by law, Additive Engineering Solutions, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to the use of our services, even if advised of the possibility of such damages.

Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the event.

8. Indemnification

You agree to indemnify and hold harmless Additive Engineering Solutions, LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses arising out of your use of our services, violation of these Terms, or infringement of any third-party rights.

9. Termination

Either party may terminate a service agreement in accordance with its termination provisions. Upon termination:

• You shall pay for all services rendered up to the effective date of termination
• We will deliver any work product completed as of the termination date
• Provisions regarding intellectual property, confidentiality, and limitation of liability shall survive termination

10. Website Use

You agree not to:

• Use the Site in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to our systems or user accounts
• Introduce malware, viruses, or other harmful code
• Scrape, crawl, or otherwise automate access to the Site without our express permission
• Interfere with the proper operation of the Site

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Akron, Ohio.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of our Site or services after any modifications constitutes acceptance of the updated Terms.
